Welcome to LUXXO. By accessing and using our website (luxxocars.com) and services, you agree to comply with the following Terms and Conditions. Please read them carefully before making any purchase.
1. Use of the Website
- You must be at least 18 years old to use this site.
- You agree not to use the website for unlawful or prohibited activities.
- All content is the property of LUXXO and may not be copied or distributed without written permission.
2. Vehicle Listings
- LUXXO curates and publishes luxury vehicle listings from verified premium dealerships.
- We ensure each listing includes accurate descriptions, images, and documentation.
- LUXXO is not liable for hidden defects, but we facilitate dispute resolution and quality control.
3. Pricing and Payments
- All prices are listed in USD unless otherwise stated.
- Payment methods include bank transfer, secure gateways (Stripe, Wise), or other verified channels.
- A deposit may be required to reserve a vehicle and is subject to our refund policy.
4. Order Confirmation and Contracts
- You will receive an electronic contract confirming the transaction details.
- Contracts are legally binding under the ESIGN Act and stored digitally.
5. Intellectual Property
- LUXXO™ and its logo are registered trademarks.
- All intellectual content (images, copy, design) is protected under applicable IP laws.
6. Limitation of Liability
LUXXO shall not be held responsible for:
- Delays due to third-party transport or customs.
- Damages caused by misuse or modification of the vehicle.
- Financial losses outside of the transaction value.
7. Dispute Resolution
All disputes shall be resolved in accordance with the laws of the State of Wyoming, USA, through mediation or arbitration before any court action.
8. Definition of Roles and Regulatory Exemption
8.1 Nature of the Service and LUXXO’s Role
LUXXO provides a Digital Orchestration Software Platform. LUXXO’s sole role is to facilitate identity verification (KYC), legally binding digital signatures under the ESIGN Act, and conditional escrow logic by sending Digital API Instructions to the payment service provider.
8.2 Not a Money Transmitter
LUXXO is NOT a Bank, Depository Institution, Trust Entity, Licensed Escrow Operator, or Money Transmitter (Money Transmission Law – MTL) under U.S. federal law (FinCEN) or the state laws of California, Florida, or New York. LUXXO does not hold, touch, transfer, or move funds; it only orchestrates the process.
9. Fund Custody and MTL Liability
9.1 Stripe’s Exclusive Legal Custody
The Buyer acknowledges and agrees that all funds deposited for the vehicle transaction are deposited directly and exclusively into designated connected accounts (Custom Accounts) of the Dealer, with Stripe, Inc. acting as the Legal Custodian and Fiduciary of said funds. The funds never pass through LUXXO’s accounts or under its legal control.
9.2 Fund Transfer
The transfer of funds from the Buyer to the Dealer’s account at Stripe is a Direct Charge. The final transfer or release of funds occurs exclusively under the responsibility and ledger of Stripe, Inc., which is the entity responsible for compliance with Money Transfer Laws and holds the applicable licenses.
9.3 Assumption of Credit Risk (Negative Balance)
The User acknowledges that, according to the Platform’s configuration, Stripe, Inc. is the entity responsible for losses resulting from negative balances, chargebacks, or disputes, except in cases of gross negligence or fraud directly attributable to LUXXO. This provision confirms that LUXXO does not assume the credit risk of transactions.
10. Acceptance of Terms and Regulatory Compliance
10.1 Acceptance of the Stripe Service Agreement
The Retailer must expressly accept the terms of the Stripe Connected Account Agreement and the Stripe Services Agreement (SSA) as a condition of using the LUXXO Platform. Such acceptance constitutes a direct legal agreement between the Retailer and Stripe, Inc., assigning Stripe the responsibility for payment processing.
10.2 KYC/AML Compliance
LUXXO uses its software tools for initial collection and identity verification (KYC, biometrics), but final compliance with AML (Anti-Money Laundering) and KYC regulatory obligations related to money transmission rests with Stripe and the Dealership according to their respective agreements.
10.3 Disclaimer and Termination
The User indemnifies and holds LUXXO harmless from any liability, fines, penalties, or regulatory claims alleging that LUXXO is an unlicensed Money Transmitter, to the extent such claims arise from failures in the safekeeping of funds, Stripe’s failure to comply with its MTL obligations, or the Dealership’s failure to fulfill its logistics and vehicle title transfer obligations.
